PROMOTION PERIOD
The Promotion begins on May 1, 2026, at 12:00 a.m. Eastern Daylight Time (“EDT”) and ends on September 30, 2026, at 11:59 p.m. EDT (the “Promotion Period”).

ELIGIBILITY
The Promotion is open only to legal residents of the 50 United States and the District of Columbia, age 18 years of age or the age of majority in their jurisdiction of legal residence (19 years of age in Alabama and Nebraska, 21 years of age in Mississippi), whichever is older, at the time of entry. Employees, officers, directors and agents of Sponsor, any other company involved in the presentation, administration or fulfillment of the Promotion, and/or their respective subsidiaries, affiliated companies and divisions (collectively, the “Promotion Entities”), and each of their immediate family members (defined as any spouse, partner, parent, legal guardian, sibling, child, legal ward, grandparent, or grandchild, regardless of where they reside) and/or those living in the same household are not eligible to enter or win. Sponsor reserves the right to verify the eligibility of winners.

HOW TO ENTER
During the Promotion Period, there are two (2) ways to enter the Promotion.

Qualifying Purchase Method: Purchase any Flipz® product from a U.S. retailer within the Promotion Period and retain your original purchase receipt (a “Qualifying Purchase”), then visit flipz.com/promotions (the “Website”) and complete the registration form with your name, email address, and any other required information and upload an image of the receipt showing a Qualifying Purchase in order to receive one (1) entry or play (“Play”) in the Instant Win Game. To qualify for entry, the purchase receipt must be unique and clearly show your purchase of a Flipz® product from any U.S. retailer during the Promotion Period. Upon valid receipt upload/submission, you will receive one (1) entry into the Grand Prize Sweepstakes.
After the Play is uploaded, the entrant will receive an instant notification on the Website screen showing if they are a potential “Instant Winner” (“Notification”). Each entrant who receives a Notification they are a potential Instant Winner will be deemed a potential Instant Winner subject to verification of the entrant’s eligibility and compliance with these Official Rules, as determined by Sponsor in its sole discretion. An entrant is not a winner of any prize, even if the Notification should so indicate, unless and until entrant’s eligibility and the potential winning Play have been verified and entrant has been notified that verification is complete and they are an actual Instant Winner. Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process, and entrant should maintain copies of any/all receipts and/or other documentation. If the system has failed for any reason, any Play that occurs after such failure will be deemed a defective play, is void, and will not be honored.
Each unique original purchase receipt dated within the promotional period may be used for one (1) Play.
Once the entry form and photo of your Qualifying Purchase is received and verified, Instant Winner will receive the prize indicated. If the submission is deemed to be ineligible, the prize will not be awarded.
- No Purchase Method: To enter without making a purchase and receive one (1) Play, Participant must first visit the Website at flipz.com/promotion/npn during the Promotion Period and follow the on‑screen instructions to fill out the form and provide their full name, email address, and other required/requested details, upload a hand-written statement, stating “I love Flipz”, including participant’s name and the date. Participant should not include faces or identifying characteristics in the image. No proof of purchase is required.
Upon successful submission of their handwritten statement, the Participant will receive one (1) Play, which will be eligible for selection as an instant winner as part of the same pool/subject to the same “winning moments” selection method as the purchase‑based entries, and will also receive one (1) entry into the Grand Prize Sweepstakes (see below). If the Participant is identified as a potential winner, their claim link will be issued automatically via email.
Limit one (1) entry per person/email address per day, regardless of method of entry. All entries become the property of the Sponsor and will not be returned. Sponsor is not responsible for late, lost, damaged, incomplete, misdirected, or illegible entries. Non-winning submissions will not be returned or receive a response.
Automated entries, entries that use or in any way incorporate artificial intelligence or any other simulation of human intelligence or process through the use of a machine or computer system (collectively, “Artificial Intelligence”), and/or third-party entries are prohibited. Any entry that was created by using or in any way incorporating Artificial Intelligence, or that was created or submitted by a third party, whether such third party was human or automated (e.g., a “bot”) will be void, and the entrant who submitted such entry may be disqualified at Sponsor’s sole discretion.

INSTANT WIN PRIZES
There are a total of three hundred sixty-three (363) Instant Win prizes available to be awarded during the Promotion Period at specific, pre-determined dates and times that are randomly distributed throughout the Promotion Period. There is a limit of one (1) instant win prize that may be awarded per household throughout the entire Promotion Period. The available Instant Win prizes are as follows:

- One hundred (100) Forza Horizon (full game) codes (ARV: $70 each)

- Five (5) 6-Month Xbox Game Pass Ultimate codes (ARV: $180 each)
- Twenty (20) 3-Month Xbox Game Pass Ultimate codes (ARV: $90 each)
Winners will be notified instantly on screen of their potential winning status at the time of Play and will then receive an email within seven (7) days to the email address provided at the time of entry with details on how to verify their eligibility and claim their prize. Please note that the winning email with your claim link will be sent by our Administrator, Umbrella, using the following email address: flipz@umbpro.com. If you have not received your prize, please check your spam folder and mark the email as “Not spam”.
Instant Win Prizes will be available at predetermined random times throughout the Promotion Period. Predetermined winning moments are allocated by secure algorithm; the first valid entry submitted after each predetermined winning moment will win the Instant Win Prize allocated to that moment.
The odds of winning any Instant Win Prize depend on the date/time when the entrant completes a Play. If no entry is received between one predetermined winning moment and the next, the Prize from that winning moment will be rolled over to create an additional winning moment. All winning moment Prizes will be made available, and it is intended that they will be won. The number of Instant Win Prizes available to be won will decrease during the Promotion Period as prizes are awarded and claimed. Decisions of the Sponsor and Administrator are final.
To redeem either a 6-month or 3-month Xbox Game Pass Ultimate code, winner will need to log into or create an Xbox account. Then, upon redeeming the code, the Game Pass Ultimate code will be applied to the account as a prepaid code. To continue using an Xbox Game Pass account after the code expires, the winner will need to add a credit card to their account or purchase additional Game Pass codes or gift cards; however, this is not required in order to redeem the prize.
World of Warcraft: Midnight game codes may require subscription and/or game time, sold separately. Also requires a valid Battle.Net account, in good standing, to redeem. Battle.Net accounts are free of charge and can be obtained at account.battle.net.

GRAND PRIZE SWEEPSTAKES
All eligible entries received during the Promotion Period will be entered into a random chance drawing for a chance to win one (1) Grand Prize, regardless of whether a Play results in winning an Instant Win Prize. One (1) winner will receive $5,000, awarded in the form of a check.
Grand Prize Drawing will be conducted by the Sponsor or Administrator on or about October 15, 2026.
Odds of winning the Grand Prize depend on number of eligible entries received.

TOTAL APPROXIMATE RETAIL VALUE (ARV) OF PRIZES
The total ARV of all prizes available to be won in this Promotion is $44,446 USD.

WINNER NOTIFICATION, CLAIM & VERIFICATION
Potential winners of an Instant Win Prize will be notified instantly on screen if they have won an Instant Win Prize. Their entry will be verified within 7 days and if accepted as a winner, they will be sent a link to a claim form via email using the address that was provided at entry, to submit their mailing address details. If a Potential winner of an Instant Win prize is rejected, an email will be sent to notify them within 7 days using the address provided on entry and no prize will be awarded.
Winners may also be required to complete and return an Affidavit of Eligibility, Release of Liability and Publicity Release (where permitted by law), and IRS Form W-9 within 5 business days of notification. If a potential winner cannot be contacted or fails to respond within the required 5 business day timeframe, their prize will be forfeited and awarded to an alternate winner selected via random drawing at the close of the promotion.
Potential Winners of the Grand Prize Sweepstakes will be notified via email, using the address that was provided at entry within five (5) business days of the drawing using the address that was provided at entry. The email will contain a link to a claim form to submit their mailing address details. Winners may also be required to complete and return an Affidavit of Eligibility, Release of Liability and Publicity Release (where permitted by law), and IRS Form W-9 within five (5) business days of notification. If a potential winner cannot be contacted or fails to respond within the required five (5) business day timeframe, their prize will be forfeited and awarded to an alternate winner via random drawing from all eligible entries received during the Promotion Period.
If any potential winner fails to return all required documentation in the time specified therein, or if such potential winner provides false, incomplete, or inaccurate information during entry, verification, or prize claim, the potential winner may be disqualified, and their prize may be forfeited in its entirety. The Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with or fails to comply with the entry process or these Official Rules. In the event of forfeiture, the Sponsor may, at its discretion, award the prize to an alternate potential winner selected in accordance with the winner selection method(s) described above from among all eligible entrants. A potential winner is not a winner, and their prize will not be awarded until their eligibility has been fully confirmed and verified by Sponsor.

WINNER FULFILLMENT
Once a Grand Prize winner is confirmed, the Grand Prize will be fulfilled via check and mailed to the Grand Prize winner, in accordance with instructions mutually agreed upon between Grand Prize winner and the Promotion Entities, within twenty-eight (28) days of verification of the Grand Prize winner.
Once Instant Win prize winners are confirmed, all physical Instant Win prizes will be mailed out to the mailing address provided on the claim form (unless otherwise agreed in writing with the Sponsor) within twenty-eight (28) days of verification of the Instant Win prize winner, and all digital Instant Win prizes will be emailed to the email address provided on the claim form Winners within seven (7) days of verification of the Instant Win prize winner.

GENERAL CONDITIONS
No substitutions or cash redemptions of any prize will be offered except at Sponsor’s discretion. Sponsor reserves the right to substitute a prize of equal or greater value if advertised prize becomes unavailable. All federal, state, and local taxes are the sole responsibility of each winner. Limit one (1) prize per household. Only the number of prizes stated in these Official Rules is available to be won in the Promotion. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, an alternate winner will be selected in accordance with the winner selection method(s) described above from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.

LIMITATIONS OF LIABILITY
By participating, entrants agree to release and hold harmless pladis North America, Inc., its affiliates, subsidiaries, advertising, and promotion agencies, and each of their respective officers, directors, employees, and agents, and the Promotion Entities (the “Released Parties”) from and against any and all liability, loss, or damage arising from participation in this Promotion or the acceptance, use, or misuse of any prize. If, for any reason, this Promotion is not capable of running as planned due to a virus, bugs, tampering, unauthorized intervention, fraud, technical failures, the unauthorized use of Artificial Intelligence, bots or other automation, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, the Sponsor reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify, or suspend the Promotion in whole or in part, at any time, without notice and award the prizes using all non-suspect eligible entries received as of, or after (if applicable), this cancellation, termination, modification, or suspension date, or in any manner that is fair and equitable. Under no circumstances will Participants be permitted to obtain awards for, and Participants hereby waive all rights to claim, punitive, indirect, incidental, and consequential damages. The Promotion Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or text messages.
The Promotion Entities are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by the Promotion Entities on account of technical problems, human error, or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Promotion or downloading any materials in this Offer. CAUTION: ANY ATTEMPT TO DEFRAUD, DELIBERATELY DAMAGE ANY WEBSITE, OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor and Administrator will be collecting Participants’ personal data in accordance with the Sponsor’s Privacy Policy that can be reviewed at the following link: Privacy Policy | Flipz. Please see the full Privacy Policy for details. Participant’s personally identifiable information is not shared with third parties unless we give prior notice and choice. We do not rent, disclose, or share personal information or aggregated demographic information with our partners and advertisers. Though we may use an intermediary to conduct Promotion, they may not use Participant’s personally identifiable information for any secondary purposes. By participating in the Promotion, you hereby agree to Sponsor’s collection and usage of your personal information and acknowledge that you have read and accepted Sponsor’s privacy policy. Participant’s information (excluding mobile phone number) will be used for purposes of direct marketing, research, and monitoring or improving the use and satisfaction of Sponsor ’s products.

TERMS & CONDITIONS
This Promotion is subject to all applicable federal, state, and local laws. By entering the Promotion, where permitted by law, Participants agree to release, indemnify, and hold harmless Sponsor; Administrator; and their respective parents, affiliates, and subsidiaries, and the Promotion Entities (collectively, “Released Parties”) against any and all losses, damages, costs, expenses (including reasonable attorneys’ fees), any other liability, which any of them may incur or for which any of them may become liable, arising out of the wrongful or negligent acts or omissions of or alleged violations of law by Participant in connection with the Promotion, including claims arising from or related to actual or alleged infringement or misappropriation of any patent, trademark, copyright, trade secret, or any actual or alleged violation of any other intellectual property or proprietary rights arising from or in connection with the Participant’s participation in the Promotion or from their acceptance, receipt, possession, and/or use or misuse of the prize, or for any typographical or other error in the printing, offering, or announcement of the prize. TAX LIABILITY
All federal, state, and local taxes and any other costs and expenses associated with acceptance and use of a prize not specifically stated herein are the sole responsibility of the winner. The Sponsor will issue an IRS Form 1099 (or any other applicable tax form) to any winner receiving a prize with an aggregate value of $2,000 or more, reflecting the fair market value of the prize. Winners are advised to consult with their tax advisors regarding the tax implications of accepting a prize.

DISPUTES / GOVERNING LAW
All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes shall be resolved individually, without resort to class action, exclusively in a court of competent jurisdiction located in Westchester County, NY.

SEVERABILITY
If any term or provision of these Official Rules is found under the law to be invalid or unenforceable, then such specific term or provision shall be of no force and effect and shall be severed, and the remainder of these Official Rules shall continue in full force and effect.
